In a strategic move aimed at enhancing accessibility and inclusivity for its associates, Walmart Inc. (NYSE: WMT) announced a 3-for-1 stock split of its outstanding shares. The decision, part of the company’s continuous evaluation of optimal trading conditions, received positive market response, with shares of the retail giant rising by 1% after the announcement.
Walmart’s CEO, Doug McMillon, emphasized the significance of keeping share prices within a range where purchasing whole shares, rather than fractions, is feasible for all associates. Currently, more than 400,000 associates participate in Walmart’s Associate Stock Purchase Plan, which enables eligible associates to conveniently buy stock through payroll deductions and provides a 15% company match on the first $1,800 each year.
“Sam Walton believed it was important to keep our share price in a range where purchasing whole shares, rather than fractions, was accessible to all of our associates,” said Doug McMillon, President and CEO of Walmart. “Given our growth and our plans for the future, we felt it was a good time to split the stock and encourage our associates to participate in the years to come. As Sam said, ‘We’re all in this together. That’s the secret.’”
The stock split, scheduled to take effect after market close on February 23, 2024, will see shareholders of record at the close of business on February 22, 2024, receiving a distribution of two additional shares of common stock for each share held. Following the split, Walmart’s common stock will commence trading on a post-split basis at the market open on February 26, 2024, under the existing trading symbol “WMT.”
This move is aligned with Walmart’s longstanding commitment to creating opportunities for associates by offering good jobs, great careers, and various benefits, including financial and educational support. The Associate Stock Purchase Plan, in place for almost 30 years, has been a crucial element of these benefits.
The stock split is expected to significantly increase the number of shares of Walmart’s outstanding common stock from approximately 2.7 billion to about 8.1 billion. As a result, Walmart plans to make proportionate adjustments to various aspects, including outstanding stock awards and warrants, equity incentive plans, common stock dividends, and authorized buyback programs.
Walmart anticipates filing a Form 8-K with the U.S. Securities and Exchange Commission after the effective date, reporting an amendment to the company’s Restated Certificate of Incorporation reflecting the stock split and corresponding adjustments.
The company’s decision to undertake this stock split demonstrates its ongoing efforts to prioritize the financial well-being of associates and enhance their ability to actively participate in the company’s success.
