Nokia announced on Thursday that it will acquire Infinera Corp in a landmark deal valued at $2.3 billion. This strategic acquisition aims to enhance Nokia’s optical network business, particularly in the North American market.
Infinera’s stock skyrocketed nearly 22% following the announcement, reflecting investor confidence in the merger. The agreed deal price of $6.65 per share represents a 26.4% premium over Infinera’s closing price of $5.26 on Thursday.
Under the terms of the agreement, Nokia will pay at least 70% of the purchase price in cash. Infinera’s shareholders have the option to receive up to 30% of the total consideration in the form of Nokia’s American Depositary Shares (ADS).
This acquisition is expected to significantly benefit Nokia, with projections indicating an immediate positive impact on Nokia’s comparable earnings per share in the first year post-closing. By 2027, the deal is anticipated to boost Nokia’s profits by over 10%.
San Jose, California-based Infinera specializes in optical semiconductors and networking equipment for both fixed-line and mobile telecommunications networks. This acquisition will enable Nokia to expand its technological capabilities and market reach in the competitive optical networking sector.
“Infinera’s innovative technology and expertise in optical networking will complement Nokia’s existing portfolio, allowing us to better serve our customers and enhance our position in the market,” said Pekka Lundmark, President and CEO of Nokia. “This acquisition is a key milestone in our strategy to strengthen our leadership in network infrastructure and drive growth in North America.”
The deal underscores Nokia’s commitment to expanding its optical networking capabilities amid growing global demand for high-speed, reliable internet infrastructure. Optical networks are crucial for supporting the increasing data traffic generated by advancements in 5G, cloud computing, and other emerging technologies.
Infinera’s cutting-edge products and solutions will enable Nokia to offer more comprehensive and efficient networking solutions to its customers. The integration of Infinera’s technology with Nokia’s existing infrastructure is expected to yield significant synergies and drive innovation in the telecommunications industry.
“This partnership marks a new chapter for Infinera and our stakeholders,” said David Heard, CEO of Infinera. “Joining forces with Nokia will provide us with the resources and scale to accelerate our growth and continue delivering world-class optical networking solutions to our customers.”
The acquisition is subject to regulatory approvals and customary closing conditions and is expected to close by mid-2024.
Analysts view this acquisition as a strategic move that positions Nokia favorably in the competitive telecommunications landscape. “Nokia’s acquisition of Infinera is a bold step towards strengthening its optical networking capabilities and expanding its footprint in North America,” said a telecom industry analyst. “This deal will likely create significant value for both companies and their shareholders.”
